2. Description of the Service

Winning Adz is a software-as-a-service product that generates advertising creative using artificial intelligence. Customers build a product and brand library, run buyer-psychology research per target market and language, turn that research into marketing angles, and generate short-form advertising scripts, static image ads, and UGC-style video ads.

The Service is entirely digital. No physical goods are sold, shipped, or delivered.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.

4. Account and credentials

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

5. Acceptable use

You agree not to use the Service to:

• create content that is illegal, defamatory, infringing, hateful, sexually explicit involving minors, or otherwise harmful;
• impersonate any person or entity, or misrepresent your affiliation with one;
• circumvent rate limits, scrape the Service, or interfere with its operation;
• reverse-engineer or attempt to derive the source code of the Service;
• resell, sublicense, or commercially redistribute access to the Service without our written consent.

6. Credits and payments

The Service is offered on subscription plans and a prepaid credit system. Subscriptions renew monthly at the price displayed at signup. Individual operations (video generation, image ad generation, script generation, etc.) consume credits at the per-operation rate displayed in the app at the time of use.

Payments are processed by Stripe, our third-party payment provider. We do not store your card details. Prices are displayed in U.S. dollars and charged in the currency supported by your payment provider; where a currency conversion is required, the rate displayed in the app at checkout applies.

Credits do not expire. If a generation fails for a reason on our side, the credits consumed for that generation are automatically refunded to your balance. See our Refund Policy for further detail.

7. Delivery and fulfilment

The Service delivers digital goods and services only. Credits and subscription access are applied to your account immediately upon successful payment confirmation from the payment provider — typically within seconds. Generated content (videos, image ads, scripts) is produced on demand and made available in your account when generation completes: scripts and image ads typically within a minute, and video ads typically within a few minutes depending on length and the number of clips.

There is no physical shipment and no shipping fees apply. If credits or access are not reflected in your account within 24 hours of a successful payment, contact billing@winningadz.app with your transaction reference and we will resolve it.

8. Cancellation

You may cancel your subscription at any time from your account settings, with no cancellation fee and without contacting support. Cancellation takes effect at the end of the billing period you have already paid for: no further charges are made, and your access and remaining credits stay available until that period ends. Part-periods are not pro-rated.

You may also delete your account entirely at any time. What we do with your data afterwards is set out in our Privacy Policy. Refunds are governed by our Refund Policy, which forms part of these Terms.

9. Your content and ownership

You retain ownership of the inputs you submit (product information, scripts, uploaded media). You also own the outputs generated for you by the Service, subject to the terms of the third-party AI service providers we license to produce them. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display your content solely to operate the Service.

You are solely responsible for ensuring that you have the rights to any third-party material (logos, trademarks, copyrighted works, likenesses) you submit and that the content you generate complies with applicable law and advertising standards.

10. Service availability and AI output

The Service is provided on an "as is" and "as available" basis. AI-generated output is probabilistic — we do not warrant that it will be accurate, fit for any particular purpose, or free of errors. You are responsible for reviewing all output before use, particularly in advertising or commercial contexts.

We may modify, suspend, or discontinue features at any time. We will use reasonable efforts to give advance notice of material changes.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or lost-profits damages.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violation of these Terms, for legal reasons, or to protect the Service and its users. Sections that by their nature should survive termination (intellectual property, limitations of liability, governing law) will do so.

13. Governing law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in the State of New Mexico.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Material changes will be communicated in-app or by email to your registered address. Continued use of the Service after a change constitutes acceptance.
